Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of RunYourAgent, operated by 11data ("we", "us"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

2. Service description

RunYourAgent provisions and manages dedicated virtual private servers (VPS) for running AI agents. Each instance runs on Hetzner Cloud infrastructure in the EU. We provide the provisioning, networking, and management layer. You provide the configuration, API keys, and data.

3. Eligibility

You must be at least 18 years old and legally able to enter into contracts. If you use RunYourAgent on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Your account

• You are responsible for maintaining the security of your account credentials.
• You must provide accurate information when creating your account.
• You are responsible for all activity under your account.
• Notify us immediately at [email protected] if you suspect unauthorized access.

5. Your instances and data

Your data is yours. We do not access, read, monitor, or collect data stored on your VPS instances. With BYOK encryption, we cannot access your data even if compelled — we do not hold the key.

• You retain all rights to data stored on your instances.
• You are responsible for backing up your data. When an instance is deleted, the server and all data on it are destroyed immediately and irrecoverably.
• We do not make backups of your instance data.

6. Acceptable use

You may use RunYourAgent for any lawful purpose. You may not:

• Use the service for any activity that violates applicable law, including EU and German law
• Send spam, phishing, or unsolicited bulk messages from your instance
• Host or distribute malware, exploit kits, or attack infrastructure
• Conduct denial-of-service attacks or network scanning of third parties
• Mine cryptocurrency on your instance (it consumes shared resources disproportionately)
• Attempt to access other customers' instances or our internal infrastructure
• Resell access to your instance as a hosting service

We reserve the right to suspend or terminate instances that violate this policy. We will notify you before taking action except in cases of imminent harm or legal obligation.

7. Billing and payment

• Pricing is displayed at checkout. All prices include applicable taxes unless stated otherwise.
• Subscriptions are billed monthly via Stripe. Your subscription renews automatically until cancelled.
• You may cancel at any time. Your instance remains active until the end of the current billing period.
• Refunds are handled on a case-by-case basis. Contact [email protected] within 14 days if you are unsatisfied.
• We may change prices with 30 days' notice. Price changes apply at the next renewal, not mid-cycle.

8. Service availability

We aim for high availability but do not guarantee specific uptime percentages. The service depends on Hetzner Cloud infrastructure and may be affected by their maintenance windows or outages.

We will notify users of planned maintenance when possible. Unplanned outages will be communicated as quickly as feasible.

9. API keys and third-party services

Your instances may use API keys for AI providers (OpenAI, Anthropic, etc.). These keys are stored on your encrypted VPS, not on our systems. You are responsible for the usage and costs associated with those API keys. We are not liable for charges incurred by your AI agents.

10. Limitation of liability

To the maximum extent permitted by law:

• The service is provided "as is" without warranties of any kind.
• We are not liable for indirect, incidental, or consequential damages.
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
• We are not liable for data loss on your instances. You are responsible for backups.

11. Termination

• By you: You may delete your instances at any time via the dashboard or CLI. You may delete your account by emailing [email protected].
• By us: We may suspend or terminate your account for violation of these Terms, non-payment, or if required by law. We will provide notice and an opportunity to retrieve your data except in cases of imminent harm.

12. Governing law

These Terms are governed by the laws of Germany. Disputes shall be resolved in the courts of Germany. If you are a consumer in the EU, you retain any mandatory consumer protection rights under your local law.

13. Changes to these Terms

We may update these Terms to reflect changes in the service or legal requirements. Material changes will be communicated to registered users by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
